Terms of Service

1. Acceptance of Terms

By accessing or using the Danwel service (the "Service"), operated by Danwel ("we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Danwel is a multi-tenant SaaS application for weekly time planning. The Service allows users to:

• Plan and manage time blocks on a weekly calendar
• Organize work by clients and projects
• Sync with external calendar services (Google Calendar)
• Integrate with invoicing services (Moneybird)
• Collaborate within organizations

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Organizations and Multi-Tenancy

The Service operates on a multi-tenant model where users belong to organizations. By creating or joining an organization:

• Organization owners are responsible for managing user access and permissions
• Data within an organization is isolated from other organizations
• Users may belong to multiple organizations
• Organization administrators can invite or remove members

5. Third-Party Integrations

The Service allows you to connect third-party services such as Google Calendar and Moneybird. By connecting these services:

• You authorize us to access and sync data between the Service and the third-party service
• You remain bound by the terms of service of each third-party service
• We are not responsible for the availability or functionality of third-party services
• You can disconnect integrations at any time through your settings

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Collect or harvest user data without consent

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Danwel and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any data you submit to the Service. By submitting data, you grant us a limited license to use, store, and process that data solely for the purpose of providing the Service to you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

9. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Circumstances beyond our reasonable control

10. Limitation of Liability

To the maximum extent permitted by law, Danwel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data
• Loss of business opportunities
• Service interruptions

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

You may terminate your account at any time by deleting your account through the Service settings. We may terminate or suspend your account immediately, without prior notice, for conduct that we determine:

• Violates these Terms
• Is harmful to other users or the Service
• Is fraudulent or illegal

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in the Netherlands.
